The Chair should take the lead in ensuring that the Board is an effective one. This will include ensuring that all Directors understand their duties and the operations of the Company, also ensuring that there is a challenging but collegiate culture in meetings and the day to day business.
The Chair will manage the Board’s meetings and agenda and will consult with Directors on Board effectiveness and culture.
The Chair should seek to ensure that all Directors are adequately informed, encourage their participation in meetings and that Directors have the opportunity to exercise diligence through proper scrutiny and questioning.
