The Chair will ensure that appropriate minutes are distributed to Directors and that Directors remain informed on the Company’s business between meetings. This may in part be delegated to the Company’s executives.

The Chair is often seen as the figurehead of the Company and is often required to represent the Company in various ways (with shareholders, employees, suppliers and customers). In most cases, this should be at the invitation of the executive, to avoid any confusion between executive and non-executive responsibilities.
