Acting within your powers

It is very important that Directors act within the powers conferred upon them, in law and by the Company’s constitution (Articles of Association)

The Articles will normally restrict and define the powers of the Directors. For example, they may cover areas such as issuing shares, engaging in certain transactions, make borrowings, the quorum for meetings and the rights of shareholders to inspect accounts, appoint Directors and similar matters.

Directors should familiarise themselves with the contents of the Company’s Articles and consult the Chair and/or Secretary if anything is unclear to them.
